Terms of Service

These Terms of Service ("Terms") govern your access to and use of DEMO VERSION: Supply Invy Management Portal (the "Service"), provided by Supply Invy ("we," "us," or "our"). By accessing or using the Service, you agree to these Terms on behalf of yourself and, if applicable, the organization you represent.

1. The Service

The Service is a web-based inventory and asset management platform, optionally including an AI assistant module ("Invy") that answers natural-language questions about your data.

2. Accounts and Access

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
Organization administrators are responsible for managing user roles and access levels within their account.
You must provide accurate information and promptly update it if it changes.

3. Acceptable Use

You agree not to: (a) use the Service for any unlawful purpose; (b) attempt to gain unauthorized access to any part of the Service or another organization's data; (c) interfere with or disrupt the integrity or performance of the Service; or (d) reverse engineer the Service except as permitted by law.

4. The Invy AI Assistant

The Service may include an optional AI assistant module. By using it, you acknowledge and agree that:

AI responses may be inaccurate. Invy is a convenience tool, not a substitute for reviewing your actual records. Responses may be incomplete, outdated, or wrong. You are responsible for independently verifying any answer before relying on it for business, financial, compliance, or other important decisions.
We are responsible for the feature, not every answer's accuracy. We are responsible for providing and operating the AI assistant feature as part of the Service. We do not guarantee the accuracy, completeness, or reliability of any specific AI-generated answer, and we disclaim liability for decisions made in reliance on an unverified AI response, to the maximum extent permitted by law.
Bring-your-own AI provider. An administrator may configure the AI module to use a third-party AI provider of their choosing (for example, Groq or OpenRouter) with their own API key instead of the Service's built-in default. In that case, use of that provider is additionally governed by that provider's own terms of service and privacy policy, and the organization is responsible for that provider relationship, including any costs, usage limits, or data-handling terms the provider imposes. 5. Your Data

You retain ownership of the data you or your organization input into the Service. We do not sell your data. See our Privacy Policy for details on how data is collected, used, and shared.

6. Fees

Use of the Service, and any optional modules (including the AI assistant), may be subject to fees as agreed between you and Supply Invy separately (e.g., in an order form, invoice, or subscription agreement). Unpaid fees may result in suspension of access.

7. Service Availability

We aim to keep the Service available and performant but do not guarantee uninterrupted or error-free operation. We may perform maintenance, updates, or modifications that temporarily affect availability.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT AI-GENERATED RESPONSES WILL BE ACCURATE OR ERROR-FREE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Supply Invy SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR BUSINESS, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, INCLUDING RELIANCE ON ANY AI-GENERATED RESPONSE.

10. Termination

We may suspend or terminate access to the Service for violation of these Terms, non-payment, or as otherwise agreed in a separate order form or subscription agreement. You may stop using the Service at any time.

11. Governing Law

These Terms are governed by the laws of the State of Mississippi, without regard to its conflict-of-laws principles.

12. Changes to These Terms

We may update these Terms from time to time. Material changes will be reflected by updating the Effective Date above. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
